If you do not agree to these Terms, please do not use our services. These Terms constitute a legally binding agreement between you and Sawa Films, headquartered in Ottawa, Ontario, Canada.
2. Services Description
Sawa Films provides AI-powered film and video production services, including but not limited to:
- AI film production and commercial creation
- AI-generated visual content and cinematography
- Voice acting and audio production services
- Visual effects and motion graphics
- Post-production and color grading
- Script development and creative direction
3. Client Responsibilities
As a client, you agree to:
- Provide accurate and complete information for project briefs
- Respond to requests for feedback and approvals in a timely manner
- Ensure you have the rights to any materials you provide to us
- Pay all fees according to the agreed payment schedule
- Not use our services for any unlawful or prohibited purpose
4. Intellectual Property Rights
Client Ownership
Upon full payment, you will own all rights to the final deliverables created specifically for your project, including the finished video content and associated assets as specified in your project agreement.
Company Rights
Sawa Films retains the right to:
- Use project excerpts in our portfolio and marketing materials (unless otherwise agreed)
- Retain ownership of our proprietary tools, techniques, and workflows
- Use general knowledge and skills gained during the project
Third-Party Content
Some projects may incorporate third-party assets (stock footage, music, fonts) subject to separate licensing terms. We will inform you of any such requirements.
5. Payment Terms
- Payment terms will be specified in your project proposal or contract
- A deposit is typically required before work begins
- Final payment is due upon project completion and before delivery of final files
- Late payments may incur interest charges as permitted by Canadian law
- All prices are in the currency specified in your agreement
6. Project Timeline and Revisions
Project timelines are estimates based on the scope defined in your project agreement. Timelines may be affected by:
- Delays in client feedback or approvals
- Changes to project scope or requirements
- Additional revision requests beyond the agreed number
Each project includes a specified number of revision rounds. Additional revisions may be subject to extra charges.
7. Cancellation and Refunds
Cancellation policies vary by project type and stage:
- Deposits are generally non-refundable once work has commenced
- Cancellation fees may apply based on work completed
- You will receive all work completed up to the cancellation date
- Specific refund terms will be outlined in your project agreement
8. Confidentiality
We treat all client information, project details, and creative materials as confidential. We will not disclose your confidential information to third parties without your consent, except as required by law or as necessary to provide our services.
9. Limitation of Liability
To the maximum extent permitted by Canadian law:
- Our total liability shall not exceed the amount paid for the specific project
- We are not liable for indirect, incidental, or consequential damages
- We do not guarantee specific results or outcomes from the use of deliverables
- We are not responsible for how you use the final deliverables
10. Indemnification
You agree to indemnify and hold harmless Sawa Films, its directors, employees, and agents from any claims, damages, or expenses arising from your use of our services, your violation of these Terms, or your infringement of any third-party rights.
11. AI-Generated Content Disclaimer
Our services utilize artificial intelligence technologies for content creation. By using our services, you acknowledge and agree that:
- AI-generated content may have limitations and imperfections
- We continuously refine outputs to meet professional standards
- The legal landscape around AI-generated content is evolving
- You are responsible for ensuring appropriate use of AI-generated content in your jurisdiction
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from these Terms or our services shall be resolved through negotiation, mediation, or if necessary, the courts of Ontario, Canada.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of significant changes by posting the updated Terms on our website. Your continued use of our services after changes constitutes acceptance of the modified Terms.
14. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
